Further to our
correspondence, of June 3rd. 1970, in regard to
the setting up of a Board of Governors for St.
Joseph's Private General Hospital, Raheny, we
now wish to inform you that we have been success-
ful in finding some people who are interested in
becoming members of this Board. None of these
people have had anything to do with the Hospital
previously.
We had our initial
meeting on Thursday, November 11th. at which we
tried to formulate a Constitution. We are
enclosing a Draft copy of this Constitution and
we would be deeply grateful if you could Kindly
read it and then Let us have your opinion and
comments. Any suggestions or advise you may have
to give us will be very much appreciated.

DRAFT CONSTITUTION AND RULES
of.
THG GOVERNING BODY OF ST. JOSEPH'S HOSPITAL
RAHENY, CO. DUBLIN.

PREAMBLE
1.
In this Constitution, the expression, "the Hospital", means St. Joseph's
Private General Hospital. Raheny, Dublin.
2.
The said Hospital is owned and administered by the Sisters of St. Joseph
of Chambery.
3.
The expression, "the Vice provincial", means the person appointed from
time to time by the owners to be responsible for the over-all control of
the Hospital or any other person appointed either by the owners or by the
Vice Provincial to act in that capacity.
THE GOVERHING BODY
4.
The Vice Provincial of the Congregation of St. Joseph of Chambery for the
time being (hereinafter called "the Vice Provincial'') shall have sole
power to appoint the original Life Governors to the Governing Body, and
Such Governors or their successors can be dismissed by the said Vice
Provincial without having to give any reason for such dismissal whatsoever.
5.
The Board of Governors shall be known as the Governing Body, St. Joseph's
Hospital, Raheny, Dublin (hereinafter called "the Governing Body').
The Governing Body shall consist of five Governors.
The following persons have been appointed by the Vice Provincial and
shall be Governors:-

6.
Each of the above persons shall become Governor for his life unless he
becomes incapacitated or unable to perform his duties as Life Governor
by reason of his health. insanity or otherwise or if he is ad judged a
Bankrupt or if he be convicted of an indictable offence other than one
Arising from the Road Traffic Acts or if for any other reason ho is
considered unsuitable to hold office by the vice Provincial. Any
Governor may resign by Notice in Writing sent by post or delivered to
the Secretary of the Governing Body and thereupon shall cease to be a
Governor.
7.
On the retirement of a Governor, compulsory as in Rule 6., or upon
his retirement for any other reason or upon his resignation the
remaining Life Governors shall have power to appoint any other person
At their discretion to the Governing Body subject always to the approval
and consent of the Vice Provincial or her lawfully appointed Deputy.
8.
The Governing Body shall appoint among themselves one Governor to
Act as Chairman either on a rotating basis or otherwise and shall also
Appoint one of their number to act as Secretary or shall have power to
Appoint any other person as Secretary to the Governing Body if they so
wish.

9. The Governing Body shall have power to appoint additional Governors but
   not more than such number as shall bring the total number of Governors
   to more than eleven, subject to the approval and consent of the Vice
   Provincial as aforesaid.

10. The Vice Provincial shall have the power to delegate any special powers
    to the Governing Body, cither for a particular purpose or series of
    purposes or otherwise.

11. The Constitution and Rules of the Governing Body can be amended by the
    said Governing Body. subject to the approval and consent of the Vice
    Provincial.
    MEETINGS:

12. The Governing Body shall hold monthly meetings at a time and venue to
    be arranged at the convenience of the Governors.

13. Such meetings shall be attended by and presided over by the vice Provincial
    or her duly appointed Deputy, and she shall, at her absolute discretion
    submit to the meeting any reports, accounts, financial stotements, etc.
    As the meeting shall consider rclevant to the busincss on hand.

14. At any mecting at which the Chairman shall not take the chair, the
    meeting shall appoint its own Chairman.

15. No Governor shall have more than one vote except that in any case of
    equality of votes on a division, the Chairman shall have a casting vote.

16. No person shall vote on any matter in which he is personally interested
    pecuniarily or otherwise or debate on such matter without the permission
    of the majority of the persons present and voting, such permission to be
    given or witheld without discussion.

17. The proceedings at any meeting shall not be invalidated by reason of any
    informality or irregularity in the convening thercof or otherwise or any
    want of qualifications in any of the persons present or voting thereat.

18. The responsibility of keeping the Minutes of the Meeting and of entering
    Such Minutes in the Minute Book shall be that of the Secretary.

19. The Quorum for a meeting of the Governors shall be 3.
    POWERS AND DUTIES Of GOVERNING BODY

20. The Governing Body shall advise the vice Provincial on all matters
    pertaining to the administration, organisation and finance of the
    Hospital.

21. It shall put forward schemes and suggestions relevant to the
    organizational structure of the Hospital or to the expansion of its
    Service or to future building programmes or otherwise and such schemes
    And suggestions shall be for the consideration of the Vice-Provincial or
    Any person or persons nominated by her.

22. To sponsor charitable promotions and fund-raising activities of all kinds
    on behalf of the Hospital subject to the prior approval of the Vice
    Provincial.

23. It shall be the duty of the Governing Body to make recommendations from
    time to time to the Vice-Provincial with regard to the general welfare
    of the staff and patients of the Hoe pital, and to any matters pertaining
    to the advancement and imporvement of the Hospital services.

24. It shall also have power to make recommendations to the vice-Provincial
    with regard to the appointment of all Consultant, General and Medical
    Staff, and the decision of the Viee Provincial on such appointments
    shall be final.

25. The Governing Body, having made any enquiry or study that it shall
    consider necessary: shall then make certain recommendations as to the
    numbers and co-ordination of the staffing of the entire Hospital.

26. It shall also have the power to request the Vice Provincial to ensure
    that any member of the staff or otherwise shall attend a meeting of
    the Governors, should this be considered necessary by the said
    Governors.
    GENERAL

27. The property of the Hospital shall remain vested in the owners and
    the Governing Body shall not acquire or arrange to dispose of any lands
    or buildings in any way whatsoever, save that they are specifically
    empowered and authorised by the Vice-Provincial or the Congregation of
    the Sisters of St. Joseph of Chambery to do so.

28. The Governing Body shall have no power unless specifically authorised to
    enter into contracts for the provision of services or supplies or
    otherwise to the Hospital. which power remains vested in the Vice
    Provincial or any person duly appointed by her to enter into such
    contracts etc.

29. The Vice-Provincial shall have the power to alter the rules of this
    Constitution or to exercise such control over the powers of the
    Governors as she shall in her absolute discretion think fit.
